The present Agreement is a legally binding agreement entered into between You (either an individual or a legal entity), hereinafter referred to as the “User” and IMAP Technology and Services Joint Stock Company (hereinafter referred to as “GOONG MAPS”) regarding the use of the “GOONG MAPS” navigation map system software product (hereinafter referred to as the “Software Product”). The Software Product includes the computer software “GOONG MAPS” Navigation Map Program (hereinafter referred to as the “Navigation System”), digital maps (hereinafter referred to as the “Digital Product”) and accompanying documents in printed or electronic form. The Digital Product may be purchased: (i) together with the Navigation System as an integral part of the Software Product or (ii) as a separate unit to run in conjunction with a previously purchased Software Product.
The present Agreement includes updates, supplements, add-ons and other components of the Software Product that ensure its operation. GOONG MAPS is the owner of all rights to the Software Product with the following terms: exclusive rights to the map base and/or its elements are owned exclusively by their owners in accordance with the copyright protection signs, which are placed in each copy of the Software Product. For a complete list of rights holders, please refer to the COPYRIGHT Term.

The entire Software Product and all its components (including but not limited to maps, databases, graphics, videos, audio recordings, text and additional programs) are subject to copyright and are protected by Vietnamese and international laws. By installing, copying, downloading, exercising access to or otherwise using the Software Product, You hereby agree to the terms of the present License Agreement. This End User License Agreement is effective immediately upon Your confirmation of Your acceptance of it. This End User License Agreement shall remain in effect for the entire period of operation of the Software Product. If You do not agree to any term of the present Agreement, do not install and do not use the Software Product.

END USER LICENSE AGREEMENT

The Software Product (including printed materials) is delivered to you subject to the terms and conditions of this Agreement.

1.1. GOONG MAPS grants You a simple non-exclusive license, i.e. the right only to use the Software Product in the manner and on the terms set forth below (hereinafter referred to as the “License”).

1.2. All terms set forth below relate to the Software Product as a whole and all its components separately.

2.1. Intellectual property rights to the Software Product (including but not limited to rights to any databases, graphic images, photographs, videos, sound recordings and additional programs and other intellectual property objects contained in the Software Product), accompanying printed or electronic documentation and any copies of the Software Product are owned by GOONG MAPS. All property rights and authoritative rights to the databases and other content to which the Software Product provides access are owned by the owners of property and authoritative rights to these databases and content, and are protected by the laws and other statutes in force in Vietnam, as well as by acts of international law, made in the field of intellectual property. The present Agreement does not grant You any access rights to the content of the Software Product.

2.2. A simple non-exclusive license to use the Software Product for personal non-commercial purposes is granted to the User in the ways listed below, provided that the terms set forth below are met.

2.3. GOONG MAPS does not grant any rights other than those expressly set forth below.

3.1. The Software Product may be sold as a component of a computer or bundled with a computer and pre-installed on it. If the User receives the Software Product as a component of a computer or bundled with a computer, the Software Product is licensed as a single integrated product bundled with the computer and may only be used with the computer, the package in which it is part or in the package in which it is delivered.
The User may always transfer the rights granted to him under the present Agreement to another person, but only in the case of a simultaneous sale and irrevocable transfer of the computer provided that no components or copies of the Software Product remain with the User and if the recipient of the Software Product undertakes to comply with the terms and conditions of the present Agreement.

3.2. The Software Product may be sold not pre-installed on the computer and not bundled with the computer. If the User receives the Software Product separately from the computer, the User has the right to transfer the rights granted to him under the present Agreement, the components and copies of the Software Product to another person provided that no components or copies of the Software Product remain with the User and if the recipient of the Software Product undertakes to comply with the terms and conditions of the present Agreement.

3.3. Scope of License. The present Agreement grants the User the right to copy the Software Product in object code form by writing it to the Random Access Memory of the computer for the purpose of directly executing the instructions of the Software Product with the central processing unit of the computer. The User has no right to use or store the Software Product in more than one computer (whether in installed or uninstalled form).

3.4. The use of the Digital Product included in the Software Product is permitted only when using the Navigation System provided in the Software Product, and no other use is permitted. The Digital Product purchased as a separate unit can only run in one Software Product (i.e. “adapted” to a single Software Product License key).

3.5. The User has the right to consult with GOONG MAPS technical support service to recover a lost or damaged copy of the Software Product. The User is hereby obliged to provide evidence of the legitimate use of the copy of the Software Product.

3.6. Delivery on two types of data media. In the event that the Software Product is delivered on two or more types of data media, the User has the right to use only the type of media that is most convenient for him. All data media contained in a copy of the Software Product shall be deemed to contain the same copy of the Software Product and may be used by the User on only one computer.

3.7. The User shall be entitled to make only 1 (one) copy of the Software Product which shall be used exclusively for backup purposes.

3.8. The User is obliged not to do it himself and not to allow other individuals or legal entities to do it in the following ways:

• Use the Software Product for the purpose of direct profit;

• Rent, lease or provide temporary use of the Software Product;

• Use the Software Product to display network-based services, including but not limited to limited to distribution on Internet sites, on a commercial as well as non-commercial basis;

• To facilitate the use of the Software Product by persons who do not have personal rights to use certain software (including those working on the same network or multi-user system as You), to transfer the license of the Software Product;

• Release ( publish) any portion or component of the Software Product, including but not limited to providing an opportunity for third parties to copy it;

• Attempt to overcome technical limitations in the Software Product to directly access the Digital Product's data, explore the Digital Product's storage structure and format, restructure the storage Digital Product, modify data, incorporate into the Software Product, modify (convert) and adapt the Software Product, disassemble, decompile (convert object code into original text) the program , databases, and other components of the Software Product;

• Make changes to the object code of the program or database, except for changes made performed by means included in the Software Product package and described in the accompanying documentation;

• Transfer the right to use the Software Product to a third party, except in cases where described in clause 3.1. and 3.2 of this Agreement provides for compliance with the requirements set forth in the foregoing provisions;

• Actions with respect to the Software Product that violate the law and other acts currently existing in Vietnam, as well as acts of international law, implemented in the field of legal protection of computer software and databases.

• To use the Technical Product digitally with any software program other than the Positioning System.

3.9. In the event of performing any of the acts specified in 3.8, the “GOONG MAPS” User reserves the right to unilaterally terminate the current End User License Agreement at any time without any notice or warning.

3.10. The User shall be solely responsible for the and assume all risks when using the Software Product.

3.11. Activation of the Software Product License Key is a legal mechanism that confirms the User's reasonable use of the Software Product.

3.12. Not allowed deactivate the License Key for a copy of the Software Product more than once (for any reason). There is no deactivation of the License Key for a copy of a Digital Product purchased as a a separate unit. Reactivation of the License Key is only allowed on a device of the same model with the same official operating system. 3.13. PLEASE NOTE that “GOONG MAPS” company only provides technical support for the official version of the Software Product and Updates released by “GOONG MAPS”.
Use of the versions of the Navigation System, Digital Product and its Updates developed/modified by various communities and/or individuals may render the Software Product inoperable in whole or in part. its parts separately, as well as causing damage to the Device, requiring repair. The user assumes his own risk and responsibility when using such developments.

4.1. To use the software that GOONG MAPS considers to be an update, the user must have a license for the Software Product that is part of the GOONG MAPS update offer. An Update that replaces all or part of or extends the Software Product is evidence of your right to receive the Update. When installing the Update on your computer, you are only entitled to use the Update in accordance with the terms and conditions of the present Agreement or in accordance with the terms of the license agreement accompanying the Update.

4.2. After installing an update, you may not use the original version of the Software Product from which the update was deployed, except in cases where it is part of a software update.

4.3. GOONG MAPS and its suppliers and partners do not assume any express or implied liability for the creation or distribution of Updates to the Software Product or any of its components including the Digital Product.

4.4. GOONG MAPS reserves the right to publish updates to the Software Product, its components, on a paid or free basis.

5.1. If the Software Product bears the words “Not for Resale,” notwithstanding any other terms and conditions of the present Agreement, the present License permits the use of such Software Product solely for the purposes of demonstration, testing, and evaluation of the Software Product; any sale or other transfer of the Software Product is hereby prohibited.

6.1. By activating the Software Product, the User agrees that GOONG MAPS may collect and use any technical information collected as part of the support services provided to the User, in connection with the Software Product. GOONG MAPS may use this information to improve its products, in marketing and other promotional purposes. GOONG MAPS will not disclose the User's personal data.

7.1. Without prejudice to any of its rights, GOONG MAPS may terminate the current Agreement in the event of non-performance of its terms and conditions.

7.2. If the Agreement is terminated, You are obliged to destroy all copies of the Software Product in Your possession (including all components of the Software Product on all media, updates, this Agreement and other accompanying documentation).

8.1. Any use, distribution or copying of the Software Product and any of its elements in violation of the terms and conditions of the present Agreement and in violation of any exclusive rights of the rights holder shall be prosecuted by law.

8.1.1. The law applicable to this Agreement shall be the law of Vietnam.

8.2. If the User breaches the present Agreement, the User shall lose the right to use the Software Product as well as the limited warranty set forth in Clause 9 below.

9.1. GOONG MAPS warrants the operability of the programs contained in the Software Product under the terms and conditions set forth in the documentation provided with the Software Product.

9.2. For the rest, the Software Product is distributed “as is”. GOONG MAPS assumes no liability whatsoever for the Software Product not meeting the User’s expectations and views, not meeting standards and/or similar, not being as described in the specifications and accompanying documentation, not being free of errors, either directly or indirectly. consequences of using the Software Product, including those resulting from possible errors or misprints in the Software Product package.

9.2.1. PLEASE NOTE that the operating time of the Digital Product (as part of the Software Product) may be limited. Information about the Digital Product as part of the Software Product as well as the operating time of the Product will be available to You immediately after activating the Software Product.

9.2.2. GOONG MAPS guarantees the operation of the Software Product in accordance with the description set forth in the User Guide and the present Agreement.

9.2.3. GOONG MAPS does not guarantee the functionality of the Software Product in violation of the conditions described in the User Guide, nor in the event of a violation of the terms of this License agreement.

9.3. GOONG MAPS does not guarantee the general operation of the Software Product with the software and hardware of third-party organizations and individuals, as well as the equipment of individual Users, in the event that the User purchases the product integrated with computer software, especially with hardware manufactured later than the version of the Software Product provided. The User agrees to the terms of this Agreement and acknowledges that in the event of incompatible hardware installation/device installation version of the Software product, the User will not complain to “GOONG MAPS”.

9.4. GOONG MAPS data information is for reference only, not guaranteed to be absolutely accurate compared to reality. GOONG MAPS is not responsible for any consequences caused by the user due to use, please refer to the Data Information of the Software Product.
